1. Acceptance of Terms
By accessing or using the DataSecurify website at www.datasecurify.com ("the Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you should not use the Site or our services.
We reserve the right to update or modify these Terms at any time. Continued use of the Site after any changes constitutes acceptance of the revised Terms.
2. Services Description
DataSecurify provides technology consulting, software development, and related professional services, including but not limited to:
- Applied AI and automation solutions
- Custom software engineering and development
- UI/UX design and branding
- Cloud infrastructure, DevOps, and hosting
- Cybersecurity assessments and penetration testing
- Quality assurance and testing
- IT consulting and strategy
- Systems architecture and mission operations
The specific scope, deliverables, and terms of any engagement will be defined in a separate statement of work or service agreement between DataSecurify and the client.
3. Intellectual Property
All content on the Site — including text, graphics, logos, icons, images, code, and design elements — is the property of DataSecurify or its content suppliers and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.
Intellectual property rights for client project deliverables will be governed by the specific terms outlined in each engagement's service agreement.
4. Use of the Site
You agree to use the Site only for lawful purposes. You may not:
- Use the Site in any way that could damage, disable, or impair its functionality.
- Attempt to gain unauthorized access to any systems or networks connected to the Site.
- Use automated tools (bots, scrapers, crawlers) to extract content from the Site beyond what is permitted by our robots.txt file.
- Transmit any malicious code, viruses, or harmful data through the Site.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. This includes, but is not limited to, business strategies, technical architectures, source code, and client data.
Confidentiality obligations will survive the termination of any service agreement and remain in effect unless the information becomes publicly available through no fault of the receiving party.
6. Limitation of Liability
To the maximum extent permitted by applicable law, DataSecurify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with:
- Your use of or inability to use the Site or our services.
- Any errors, omissions, or inaccuracies in the content on the Site.
- Any unauthorized access to or alteration of your data or transmissions.
- Any third-party conduct or content related to the Site or our services.
Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you to DataSecurify in the twelve (12) months preceding the claim.
7. Warranties and Disclaimers
The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. DataSecurify disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
8. Payment Terms
Payment terms, including fees, payment schedules, and invoicing procedures, will be discussed and agreed upon on a per-engagement basis. All payment terms will be documented in the applicable service agreement or statement of work.
Unless otherwise specified in writing, invoices are due within thirty (30) days of issuance. Late payments may incur additional fees as outlined in the service agreement.
9. Termination
Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. In the absence of specific termination provisions, either party may terminate with thirty (30) days' written notice.
DataSecurify reserves the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we determine violates these Terms or is harmful to other users, DataSecurify, or third parties.
Upon termination of any engagement, all outstanding fees become immediately due and payable. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
10. Indemnification
You agree to indemnify and hold harmless DataSecurify, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Site or violation of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Site will be resolved through good-faith negotiation. If a resolution cannot be reached, the parties agree to submit the dispute to binding arbitration or the appropriate courts, as mutually agreed upon.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
